These Terms & Conditions (“Terms”) govern access to and use of talentwale.com (“Platform”), operated by BIZBNI Ventures Pvt. Ltd. (“Talentwale”, “We”, “Us”).

1. Definitions
   • “Platform” means talentwale.com and all related websites, mobile applications, dashboards, APIs, and services.
   • “User” includes:
     • Candidates
     • Employers
     • Recruitment Agencies
     • Manpower / Labour / White-Collar Contractors
     • Any visitor accessing the Platform
   • “Services” means recruitment facilitation, manpower discovery, data hosting, AI-assisted matching, and related features.
2. Acceptance of Terms
   • By accessing, registering, or using the Platform, you agree to be bound by:
     • These Terms & Conditions
     • Privacy Policy
     • Data Protection & Consent Policy
     • Applicable role-specific agreements (where relevant)

   If you do not agree, you must not use the Platform.

3. Eligibility
   • You confirm that:
     • You are at least 18 years of age
     • You are legally competent to enter into contracts
     • You are not prohibited from using the Platform under applicable laws
4. Role-Based Usage & Agreements
   • Depending on your role, additional terms apply:
     • Candidates -> Candidate User Agreement
     • Employers -> Employer Terms of Service
     • Recruitment Agencies -> Recruitment Agency Partnership Agreement
     • Manpower / Labour Contractors -> Contractor Agreement

   These Terms operate as master terms, and role-specific agreements shall prevail in case of conflict.

5. Account Registration & Security
   • Users agree to:
     • Provide accurate and complete information
     • Maintain confidentiality of login credentials
     • Be fully responsible for all activity under their account

   Talentwale is not liable for unauthorized access due to user negligence.

6. Platform Use & Conduct
   • Users agree NOT to:
     • Post false, misleading, illegal, or fraudulent information.
     • Upload prohibited or irrelevant data
     • Misuse candidate or employer data
     • Engage in discrimination or unlawful hiring practices
     • Attempt to scrape, copy, or resell platform data

   Talentwale reserves the right to moderate, suspend, or remove content or accounts.

7. Data Usage & Consent
   • All personal data is collected and processed in accordance with:
     • Data Protection & Consent Policy
     • Digital Personal Data Protection Act, 2023
   • Users acknowledge that:
     • Talentwale acts as Data Fiduciary
     • Employers, Agencies, and Contractors act as Data Processors
     • Data may be shared strictly for recruitment and manpower purposes
8. AI-Assisted Features
   • Talentwale may use AI-based tools for:
     • Matching
     • Shortlisting
     • Interview assistance

   AI tools are assistive only and do not replace human decision-making.

9. Fees, Payments & Monetization
   • Candidate services are currently free unless otherwise specified
   • Employers, Agencies, and Contractors may be subject to:
     • Subscriptions
     • Usage-based fees
     • Success-based fees
   • All pricing and refunds are governed by:
     • Platform policies
     • Applicable role-specific agreements
10. Intellectual Property
    • All Platform content, including:
      • Software
      • UI/UX
      • Databases
      • Branding
      • AI logic

    is the exclusive intellectual property of BIZBNI Ventures Pvt. Ltd. Unauthorized use is strictly prohibited.

11. Disclaimers
    • Platform is provided “as is” and “as available”
    • Talentwale does not guarantee:
      • Hiring outcomes
      • Job offers
      • Manpower deployment
      • Data accuracy submitted by users
    • Talentwale is not an employer or principal employer
12. Limitation of Liability
    • To the maximum extent permitted by law, Talentwale shall not be liable for:
      • Hiring or employment outcomes
      • Labour disputes
      • Data misuse by third parties
      • Indirect, incidental, or consequential damages

    Maximum liability, if any, shall not exceed fees paid in the last 3 months.

13. Indemnification
    • You agree to indemnify and hold Talentwale harmless from:
      • Claims arising from your data, postings, or conduct
      • Statutory non-compliance
      • Breach of these Terms or applicable agreements
14. Suspension & Termination
    • Talentwale may suspend or terminate accounts:
      • For policy violations
      • Fraudulent activity
      • Legal or regulatory reasons

    Users may deactivate their account subject to applicable agreements.

15. Grievance Redressal
    • All complaints and disputes shall be handled in accordance with the Grievance Redressal Policy.
16. Governing Law & Dispute Resolution
    • These Terms shall be governed by the laws of India.
    • Any disputes shall be resolved through arbitration in Ahmedabad, Gujarat, under the Arbitration and Conciliation Act, 1996.
17. Changes to Terms
    • Talentwale reserves the right to modify these Terms at any time.
    • Continued use of the Platform constitutes acceptance of revised Terms.
